Red Carpet to POC Program

Partnership Terms Sheet

This Terms Sheet outlines the basic commercial understanding between the participating startup company and Shahar Matorin, operator of the Red Carpet to POC program.

1. Purpose

The company joins the Red Carpet to POC program with the understanding that the program includes strategic guidance, business development efforts, access to networks, and support in entering new markets in Israel and abroad.

2. Commercial Collaboration Agreement

Once accepted to the program, the company agrees to sign a formal commercial collaboration agreement with Shahar Matorin.

The agreement will include the following core elements:

3. Revenue Share

The company agrees to grant Shahar Matorin a revenue share of 10 percent to 15 percent from all commercial income generated through introductions, partnerships, opportunities, or support provided by the program.

This revenue share applies for a minimum period of 36 months from the date the first opportunity is created or from the date the agreement is signed, whichever comes first.

4. Global Partnership Model

The revenue share is intended to support and enable collaboration with trusted partners in additional countries who help open market access or generate opportunities for the company.

5. Future Agreement

A detailed commercial collaboration agreement will be drafted and signed between the parties after the company is officially accepted into the program. This Terms Sheet is a declaration of mutual understanding.

6. Confidentiality

Both sides agree to maintain full confidentiality regarding all business information, contacts, and opportunities shared throughout the program.
